Review Eagle Affiliate Terms and Conditions

This Affiliate Agreement (“Agreement”) is entered into by and between Review Eagle (hereinafter referred to as “Company”) and the Affiliate (hereinafter referred to as “Affiliate”) as of September 1, 2023.

1. Purpose

The purpose of this Agreement is to establish the terms and conditions under which the Affiliate will promote Review Eagle’s products or services, and in consideration for the Affiliate’s promotional efforts, the Company will compensate the Affiliate as outlined in this Agreement.

2. Affiliate Obligations

2.1. Promotion: The Affiliate agrees to promote Review Eagle’s products or services in a professional and ethical manner. The Affiliate shall use marketing materials provided by the Company and adhere to any guidelines issued by the Company.

2.2. No Self-Benefit: The Affiliate shall not use any promotional methods or engage in any activities that would result in personal gain, including but not limited to purchasing Review Eagle’s products or services through their own affiliate link or using fake or duplicate accounts.

2.3. Keyword Restrictions: The Affiliate shall not bid on or use, either directly or indirectly, keywords or phrases related to the Review Eagle brand, including but not limited to “Review Eagle,” “revieweagle,” or any variation or misspelling thereof, in any search engine marketing campaign, pay-per-click advertising, or domain name registration.

3. Compensation

3.1. Commission: The Affiliate will receive a commission for each sale generated through their unique affiliate link, as determined by the Company’s Affiliate Program. The commission rate and payment terms are specified in the Company’s Affiliate Program documentation.

3.2. Payment: The Company will pay commissions to the Affiliate on a regular basis, as outlined in the Affiliate Program documentation. Payments will be made through the payment method chosen by the Affiliate during their registration process.

4. Term and Termination

4.1. Term: This Agreement shall commence on the Effective Date and shall continue until terminated by either party with written notice.

4.2. Termination: Either party may terminate this Agreement for any reason, with or without cause, upon written notice to the other party. Upon termination, all rights and obligations of both parties under this Agreement shall cease.

5. Confidentiality

The Affiliate agrees to keep all non-public information obtained from the Company confidential and shall not disclose such information to any third party without the prior written consent of the Company.

6. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of New York, without regard to its conflict of law principles.

7. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior agreements, understandings, and negotiations, whether oral or written.

8. Severability

If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
